You agree to indemnify and hold harmless Young & Associates Engineering Consultants, its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your use of the Website, the Store, or our Services, your breach of these Terms, or any violation of applicable laws or third-party rights.

8. Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, carrier delays, war, terrorism, or technical failures.

Part B — Online Store Terms

13. Products & Descriptions

We endeavour to provide accurate product descriptions, images, specifications and pricing on the Website. However, many products listed in the Store are sourced from and fulfilled by third-party suppliers. As such:

  • Product descriptions, images and specifications are provided by the manufacturer or supplier and may not be entirely accurate or up to date.
  • Colours and appearance may vary from what is displayed on screen due to monitor settings and photographic conditions.
  • We do not warrant that product descriptions or other content on the Website are error-free, complete or current.
  • We reserve the right to modify, discontinue or update product listings at any time without prior notice.

14. Pricing & Payment

All prices displayed on the Website are in Australian Dollars (AUD) and include GST where applicable. We reserve the right to change pricing at any time without notice. The price charged will be the price displayed at the time of your order.

Payment must be made in full at the time of purchase through the payment methods available at checkout. We use third-party payment processors and do not store your payment card details.

In the unlikely event of a pricing error, we reserve the right to cancel the order and issue a full refund. We will notify you promptly if this occurs.

15. Orders & Acceptance

Placing an order through the Store constitutes an offer to purchase the products. All orders are subject to acceptance by us. We may, at our sole discretion, refuse or cancel any order for any reason, including but not limited to:

  • Product unavailability or stock errors
  • Pricing or description errors
  • Suspected fraudulent or unauthorised transactions
  • Failure to verify your identity or payment

An order confirmation email does not constitute acceptance of your order. Acceptance occurs only when the product has been dispatched.

16. Shipping & Delivery

Shipping and delivery of products are managed by third-party carriers and/or fulfillment partners. Estimated delivery times are indicative only and are not guaranteed.

  • Delivery timeframes provided at checkout are estimates only and may vary.
  • Risk of loss and title for products pass to you upon dispatch from the fulfillment location.
  • You are responsible for providing a correct and complete delivery address.
  • Shipping costs (if any) will be displayed at checkout before you complete your purchase.
  • Some products may ship directly from overseas or interstate suppliers.

17. Returns, Refunds & Australian Consumer Law

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law (“ACL”). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

In addition to your rights under the ACL:

  • If you receive a product that is faulty, damaged, or materially different from the description, please contact us within 14 days of receiving the item.
  • Products must be returned in their original condition, with all packaging, tags and accessories included.
  • We do not accept returns for change of mind, unless otherwise required by law.
  • Return shipping costs may be your responsibility unless the product is faulty or the return is due to our error.
  • Refunds will be processed to the original payment method within a reasonable timeframe after the return is received and inspected.

18. Product Warranties

Except as required by the ACL or other applicable legislation:

  • All products are provided “as is” without any express or implied warranty of any kind, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Any manufacturer or supplier warranty is provided by the respective manufacturer or supplier and not by us.
  • We make no representations regarding the suitability, reliability or accuracy of products for any particular application or use case.

Part C — Engineering Consultancy & Manufacturing Services

19. Scope of Services

We provide multidiscipline engineering consultancy services including project management, structural engineering, mechanical engineering, civil engineering, CAD design, and related professional services. We also undertake manufacturing and fabrication work. The specific scope, deliverables and timeframes for any engagement will be defined in a written proposal, quote or contract (“Service Agreement”).

20. Quotes & Engagement

Quotes for engineering and manufacturing services are provided free of charge and are valid for 30 days from the date of issue unless otherwise stated. Prices are in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. A quote becomes a binding agreement once accepted in writing by the client (including email confirmation). We reserve the right to adjust pricing if the scope of work changes or unforeseen conditions arise.

21. Professional Standards & Compliance

All engineering services are provided with due care and skill in accordance with:

  • Relevant Australian Standards and codes of practice
  • The Building Code of Australia (BCA) / National Construction Code (NCC) where applicable
  • Applicable state and federal legislation and regulations
  • Professional engineering standards and accepted industry practice

Our engineers hold appropriate qualifications and professional registrations. Engineering certifications and sign-offs are provided only by suitably qualified and registered engineers.

22. Design Ownership & Intellectual Property

Unless otherwise agreed in writing in the Service Agreement:

  • All engineering designs, drawings, calculations, reports, models and documentation produced by us remain our intellectual property until full payment has been received.
  • Upon full payment, you are granted a non-exclusive licence to use the deliverables for the specific project for which they were commissioned.
  • You may not reuse, modify, reproduce or distribute our designs or documentation for any other project or purpose without our prior written consent.
  • We retain the right to use project information (excluding confidential details) for professional development and portfolio purposes.

23. Client Responsibilities

You agree to:

  • Provide accurate and complete information, specifications and requirements
  • Provide timely access to sites, facilities and personnel as required
  • Disclose all known hazards, constraints, existing conditions and relevant documentation
  • Obtain all necessary permits, approvals and consents (unless specifically included in our scope)
  • Review and provide feedback on deliverables within agreed timeframes

Delays or additional costs arising from incomplete, inaccurate or late information from the client may result in revised timeframes and additional charges.

24. Manufacturing & Fabrication

For manufacturing and fabrication work:

  • All work is performed to the specifications and tolerances defined in the Service Agreement or applicable standards.
  • Materials will be as specified unless alternatives are agreed in writing.
  • Lead times are estimated in good faith but may be affected by material availability, supplier delays or unforeseen technical issues.
  • Acceptance criteria and inspection requirements will be defined in the Service Agreement.
  • Any design changes requested after commencement may incur additional charges and revised delivery timeframes.

25. Professional Liability & Engineering Disclaimers

While we exercise due care and skill in providing our Services:

  • Engineering advice and designs are based on the information, site conditions and requirements provided to us at the time of engagement.
  • We are not liable for issues arising from information that was not provided, was inaccurate, or has changed since the engagement.
  • Our liability for professional services is limited to the fee paid for the relevant engagement, except where liability cannot be limited by law.
  • We maintain professional indemnity insurance appropriate to our practice.
  • Certifications and engineering sign-offs apply only to the specific scope, conditions and assumptions stated in the relevant document.

26. Payment Terms for Services

Payment terms for engineering and manufacturing services will be specified in the Service Agreement. Unless otherwise agreed:

  • Invoices are due within 14 days of issue.
  • For larger projects, progress payments may be required at defined milestones.
  • Overdue accounts may incur interest at the rate of 2% per month on the outstanding balance.
  • We reserve the right to suspend or cease work if payments are overdue.
  • All deliverables and intellectual property remain our property until full payment is received.

27. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information received from the other party in connection with the engagement. This obligation survives the termination of the engagement. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

28. Termination of Services

Either party may terminate an engineering or manufacturing engagement by providing 14 days written notice. Upon termination:

  • You are liable for payment for all work completed and costs incurred up to the date of termination.
  • We will provide all completed deliverables for which payment has been received.
  • Materials ordered or manufactured specifically for your project and not returnable to suppliers will be charged to you.
